MEMBERSHIP AGREEMENT
Agreement made on {start_date}, between ANNAPOLIS BOXING LLC, D/B/A ANNAPOLIS BOXING, a limited liability company organized and existing under the laws of the State of Maryland, with its offices located at the address listed above, referred to herein as the Health Club, and {name}, {address}, hereinafter called Client.
Whereas {name} desires to become a client of the Health Club and cannot become a client without agreeing to the rules and regulations set forth below and abiding by the terms of this Agreement;
Whereas, the Health Club provides physical training through private sessions, semi-private sessions, and small group training. Services may include boxing instruction, conditioning, fitness training, physical culture, sparring if separately authorized, and related services intended to improve Client's health, fitness, physical well-being, and boxing skills.
Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Membership Fees, Cancellation, and Hold
All membership options are listed below. Membership use and services must be paid for in advance. Membership rates, schedules, and policies may change only with prior written or electronic notice. If Client's membership rate changes, Client may cancel before the new rate is charged. Annapolis Boxing LLC does not require members to prepay more than one thirty (30) day billing period for recurring memberships and does not collect more than three (3) months of payment in advance from any member.

Free Intro Class: A Free Intro Class is a free introductory class only. It is not a paid trial, does not automatically convert into a membership, and does not authorize any recurring billing unless Client separately enrolls in and accepts a membership agreement and payment authorization.
Gift Cards / Gift Certificates: Annapolis Boxing LLC does not sell gift cards or gift certificates.
Initiation / Sign-Up Fee: Health Club may, at its discretion, charge a one-time initiation/sign-up fee to new clients in the future, but the fee will not exceed $200 while Health Club is registered as bond-exempt. No initiation/sign-up fee will be charged unless the amount is clearly disclosed to the new client at or before enrollment and accepted by Client in this Agreement, through online checkout, or through another written or electronic enrollment authorization. If no amount is listed or disclosed for Client, no initiation/sign-up fee is charged. Existing members will not be charged an initiation/sign-up fee retroactively unless they separately agree in writing or electronically. Any initiation/sign-up fee charged is non-refundable except as required by Maryland law, including the three-business-day cancellation right stated in the Notice of Consumer Rights.
Renewal Term: The initial term of this Agreement is thirty (30) days. Services under this Agreement begin on the date Client signs or electronically accepts this Agreement. Client may choose a renewal option for continued membership. By signing or electronically accepting this Agreement and providing payment authorization, Client expressly accepts a recurring thirty (30) day renewal membership and authorizes Annapolis Boxing LLC to charge Client's payment method on file every thirty (30) days until Client cancels in accordance with this Agreement. There is no long-term commitment unless separately agreed in writing.
Client initials: I expressly accept the recurring thirty (30) day renewal option and automatic payment authorization described in this Agreement.
Client understands that upon signing or electronically accepting this Agreement, Client is not entitled to any refund of any part of the membership dues except as expressly provided in this Agreement, in the Notice of Consumer Rights, or as otherwise required by Maryland law. Client also understands that private training sessions expire thirty (30) days after purchase and Client will not be refunded or credited for unused sessions except as required by Maryland law or agreed in writing by Health Club.
Cancellation: Client may cancel Client's recurring membership by sending a cancellation request through the member portal/message system, by email sent to info@boxingannapolis.com, or in person at the Health Club. A cancellation request submitted through the online member portal or message system is accepted as written/electronic notice under this Agreement. Annapolis Boxing LLC processes cancellation requests on the same day they are received, and the online membership management system and/or Health Club sends an email confirmation after cancellation is processed. Client should keep the cancellation confirmation for Client's records. Cancellation must be received before the next scheduled billing date to avoid the next recurring charge. Once a recurring charge has been processed, it is non-refundable except as required by Maryland law or stated in the Notice of Consumer Rights. Removing a payment method from the online member portal or any other online member account is not considered a membership cancellation and does not waive any balance already owed or any payment obligation. If Client enrolled through an electronic or online method, the Health Club will make available an electronic cancellation method that is at least as easy to use as the method used to enroll, as required by applicable Maryland law.
Health Club Termination or Suspension: Health Club may suspend or terminate Client's membership for nonpayment, unsafe conduct, violation of Health Club policies, harassment, threats, misconduct, repeated failure to follow staff instructions, or other legitimate business or safety reasons. If Health Club terminates a membership for reasons unrelated to Client's conduct, policy violations, or nonpayment, Health Club will provide any refund required by Maryland law or, at Health Club's discretion, a prorated refund for prepaid services not yet rendered.
Payment Hold: Client may request a temporary hold or freeze only if a hold/freeze option is offered by Health Club in writing at that time. Otherwise, Client may not hold or freeze an automatic payment and should cancel before the next scheduled billing date if Client does not wish to continue membership.
Facility Location, Relocation, and Short-Term Closures: Annapolis Boxing LLC currently provides services at the location listed in this Agreement. Client understands that Annapolis Boxing LLC may relocate its facility during the term of this Agreement. Annapolis Boxing LLC will provide reasonable written or electronic notice of any relocation. If relocation, repairs, holidays, weather, maintenance, special arrangements, or short-term closures make it necessary for the Health Club to restrict use of or close the facility, fees will not be reduced or suspended except as required by Maryland law or stated in the Notice of Consumer Rights. If any relocation or closing triggers rights provided under Maryland law or the Notice of Consumer Rights, those rights will apply.
Health Club reserves the right to increase membership rates by two-five percent (2–5%) annually with prior written or electronic notice to Client. Client may cancel before the new rate is charged.
2. Automatic Payment Authorization
Client represents and warrants that if Client is purchasing something or paying for a service from this Health Club that (i) any credit card, debit card, or bank account draft (ACH Draft) information Client supplies is true and complete, (ii) charges incurred by Client will be honored by Client's credit card company or financial institution, and (iii) Client will pay the charges incurred by Client at the posted prices, including any applicable taxes, fees, and penalties.
Client hereby authorizes (if online payment is made or autopay information is provided) this Health Club to charge Client's ACH draft, credit card, or debit card account for the following amounts: (1) Client's recurring membership dues, (2) any one-time initiation/sign-up fee disclosed to and accepted by Client at enrollment, if applicable, and (3) any other fee for other goods/services Health Club provides that Client instructs Health Club to bill to Client's account on file. The automatic renewal price is the membership or service price selected by Client from the fee schedule above, as it may be changed only after prior written or electronic notice. Recurring membership dues will be charged every thirty (30) days until cancelled in accordance with this Agreement.
Client expressly consents to recurring automatic charges and to receiving membership, billing, renewal, cancellation, and rate-change notices electronically at the email address, mobile number, online member portal, or other online account provided by Client. Client may revoke Client's automatic payment authorization by removing the payment method through the online member portal, updating the payment settings in another online member account, or providing written/electronic notice to Health Club. Revoking payment authorization or removing a payment method does not, by itself, cancel the membership, waive any balance owed, or modify the cancellation requirements stated in this Agreement. If payment authorization is revoked or no valid payment method is on file, Health Club may suspend access to classes and services until the account is brought current. Client may update payment information through the online member portal or other online member account at any time. If Client requests Health Club staff to manually update billing information, Client should provide the request sufficiently before the next scheduled billing date to allow processing.
Payment Method Management: Client may add, update, or remove Client's payment method at any time through Annapolis Boxing's online member portal or other membership management platform. If the online platform is unavailable, Client may contact Annapolis Boxing by email or in person for assistance. Client acknowledges that access to payment-method management is available to Client and that Client is responsible for maintaining an active and valid payment method for recurring membership charges. Removal of a payment method does not, by itself, cancel the membership, revoke Client's payment obligations, waive any balance owed, prevent Health Club from billing any valid payment method later provided by Client, or modify the cancellation requirements stated in this Agreement. To cancel the membership and stop future recurring charges, Client must follow the cancellation procedure stated in this Agreement. If no valid payment method is on file, or if payment is declined, Annapolis Boxing LLC may suspend access to classes and services until the account is brought current.
3. General Policies
The undersigned Client understands and agrees to the following general policies:
a. If Client anticipates being more than 10 minutes late to a group class, Client must contact the on-duty trainer. If Client is more than 20 minutes late to a group class, the on-duty trainer has a right to deny entry to the group class.
b. Registration and Cancellations
Client is strongly encouraged to pre-register each time he/she plans to attend a class at the Health Club through the Health Club's online member portal or client management software. Health Club may deny Client access to classes if Client does not pre-register as required. The Health Club may either close or operate at reduced hours on holidays. Business hours, policies, and regulations may change with prior written, electronic, website, online member portal, or client-management-software notice.
If Client is unable to attend a training session for which he/she is scheduled, he/she is required to cancel that registration at least three (3) hours in advance of that session's start time. This cancellation requirement is a no-exception policy. Failure to cancel any scheduled session as required in this paragraph will result in a loss of that session.
If Client is sick, or experiencing any symptoms of illness, Client must cancel any upcoming appointment immediately. Health Club requires Client to be symptom free two (2) days before returning to any exercise program. If a Client comes to an appointment with symptoms of an illness, he/she will be sent home and charged.
4. Participation Agreement
To ensure Client's goal(s) are met, it is important to establish specific guidelines. Working with us at our Health Club is a relationship that requires the effort of both parties. Below is a list of responsibilities that you as a Client are required to uphold. It is important to understand that both parties share responsibility in the training program's final outcome.
- I commit to making my health and fitness a priority in my life.
- I will exercise multiple times per week.
- I recognize the importance of maintaining open communication with my trainer(s) and that feedback is critical to my personalized program.
- I understand that I may be asked to perform additional exercises on my own.
- I understand that I may be asked to modify or change my eating habits and that nutrition plays an integral part in maintaining a healthy status and weight.
- I understand that ultimately I am responsible for obtaining my goals and that what I do outside of the Health Club can affect my overall health and fitness.
- I know that I am worth the effort it will require to reach and maintain my health and fitness goal(s).
- I understand that I must arrive at each session with a positive mindset and prepared to focus on my program.
5. Boxing Risks, Waiver, and Safety Acknowledgment
Client understands that boxing, conditioning, sparring, partner drills, contact drills, mitt work, bag work, and related training involve inherent risks, including physical contact, falls, sprains, strains, bruises, cuts, dental injury, eye injury, concussion, and other serious injury. Client agrees to follow all safety rules, use required protective equipment, immediately report injuries or symptoms, and stop training if Client feels unsafe, ill, dizzy, or unable to continue. Nothing in this Agreement is intended to waive any rights that cannot be waived under Maryland law.
Client acknowledges that this Membership Agreement is separate from, and in addition to, any waiver, release of liability, assumption of risk, sparring consent, or safety acknowledgment required by Annapolis Boxing LLC. Client's participation may be denied or suspended until all required documents are completed. Nothing in this Agreement or any waiver is intended to waive rights that cannot be waived under Maryland law.
6. Attire
For Boxing Services: Closed-toed shoes and clean athletic clothing are mandatory. After the Free Intro Class, Client must obtain, bring, and use Client's own basic boxing equipment: sixteen-ounce (16 oz.) boxing gloves, hand wraps, and a properly fitted mouthguard. The Health Club provides loaner boxing gloves and hand wraps only for the Free Intro Class and does not provide loaner mouthguards. A mouthguard must be used for sparring and for any partner, contact, or other activity for which Health Club staff requires one. Health Club staff may authorize a different glove weight for a particular activity. Annapolis Boxing sells boxing equipment at the facility for Client's convenience, but Client is not required to purchase equipment from Annapolis Boxing and may purchase it from any retailer of Client's choice, provided the equipment meets Health Club safety requirements.
7. Conduct
The Health Club is committed to the health, safety, and welfare of each of its clients and staff and will not tolerate unreasonable, threatening, obscene, harassing, indecent, or illegal behavior. The Health Club has the right to judge behavior and respond accordingly. This right includes, but is not limited to, termination of membership of any client engaging in unacceptable behavior.
8. Children and Minors
Clients must be twelve (12) years of age or older. Clients under eighteen (18) years of age must have this Agreement signed by a parent or legal guardian. If Client is under eighteen (18), the parent or legal guardian signs this Agreement both on behalf of the minor Client and individually as the person financially responsible for all amounts owed under this Agreement.
Minor Clients may participate in sparring, partner drills, contact drills, or other contact boxing activities only if a parent or legal guardian has signed all required waivers, releases, consents, sparring authorizations, and safety acknowledgments required by Annapolis Boxing LLC. The parent or legal guardian acknowledges that boxing and sparring involve inherent risks of physical contact and injury.
9. Damages
Client shall pay for any damages to the Health Club's property which results from the willful or negligent conduct of Client, Client's guest, or dependent children.
10. Lost Articles
Health Club assumes no responsibility for lost or stolen articles. Lost and found articles not claimed will be donated to charity.
11. Assignment of Agreement
Health Club reserves full authority to sell, assign, or transfer its right to receive payment from Client at its discretion. Health Club does not give refunds except as expressly provided in this Agreement, in the Notice of Consumer Rights, or as otherwise required by Maryland law.
This Agreement contains the entire agreement between the parties, and supersedes any prior written or oral agreements between them concerning the subject matter of this Agreement. The provisions of this Agreement may be waived, altered, amended, or repealed, in whole or in part, only upon the prior written consent of all parties.
Dispute Resolution: Nothing in this Agreement prevents Client from filing a complaint with the Maryland Consumer Protection Division or any other government agency, exercising payment-card dispute rights to the extent available under applicable law or card-network rules, or pursuing any right that cannot be waived under Maryland law. Either party may bring an individual claim in small claims court, and Health Club may pursue collection of unpaid balances. Subject to the foregoing exceptions, any dispute under this Agreement shall be resolved by binding arbitration before one neutral arbitrator, unless the parties agree otherwise in writing. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect, unless the parties agree to another arbitration provider. Proper venue and jurisdiction shall be the State of Maryland, Anne Arundel County.
Client has read, and fully agrees to the terms of this Agreement and understands and agrees that by signing this Agreement Client has given up considerable future legal rights. Client has signed this Agreement freely, voluntarily, under no duress or threat of duress, without inducement, promise, or guarantee being communicated to him/her.
NOTICE OF CONSUMER RIGHTS

This Health Club is registered with the Maryland Consumer Protection Division as bond-exempt. This Health Club is exempt from bonding requirements because it does not collect or accept more than three (3) months of payment in advance from any member, does not require members to prepay more than one thirty (30) day billing period for recurring memberships, does not charge any initiation fee or other up-front fee over $200, and does not collect money for pre-opening sales.
YOU MAY CANCEL THIS CONTRACT WITHOUT ANY PENALTY OR FURTHER OBLIGATION WITHIN THREE (3) BUSINESS DAYS AFTER RECEIVING A COPY OF THIS AGREEMENT.
Notice of cancellation shall be in writing subscribed by the buyer and delivered in person or mailed by certified mail, return receipt requested, through United States Postal Service to the seller at the following address:

For purposes of this three-business-day cancellation right, Saturday counts as a business day if the Health Club is open to members on that Saturday; legal holidays do not count as business days.
All moneys paid pursuant to such contract shall be refunded upon receipt of such notice of cancellation. This includes any initiation, deposit, membership, or other fees paid under this Agreement.
If upon a doctor's order, you cannot physically receive the services because of significant physical disability, you may extend this contract for a period equal to the duration of the disability if the disability will be for a period longer than three (3) months.
If the services cease to be offered as stated in the contract because the Health Club is closed for a period longer than one (1) month through no fault of you, the buyer, you may either:
- Extend this membership contract for a period equal to the period during which the facility is closed; or
- Request a prorated refund of the amount paid by you under this contract for services not yet rendered.
If the Health Club is closed through no fault of the seller, the choice of remedy listed above shall be made by the seller. If the Health Club is closed through the fault of seller, the choice of remedy shall be made by you.
In witness whereof, I understand my rights and obligations as stated above. I confirm that I am a legal adult or, if the Client is under eighteen (18), that I am the Client's parent or legal guardian. I have read and understand this Agreement and am aware that by signing or electronically accepting it I am agreeing to all terms outlined above. I have executed this Agreement as of this date and acknowledge receiving a copy of the signed Agreement.
